Job Description

Job Responsibilities

Contract/Policy Management
-Drafting, negotiating and reviewing contracts
-Advise the business departments on various contractual matters pertaining to liability,exposure, obligations etc
-Provide sound legal advice to senior management, business departments and human resources department, as and when sought relating to contracts, agreements and transactions
-To notify the senior management regarding the expiry date of any legal agreements in the Legal Department’s possession and take instructions from the senior management pertaining to the way forward for such legal agreements
-To be familiar with and ensure compliance with obligations, duties and undertakings set out in the legal agreements kept in the Legal Department’s possession.
-To ensure scanned copy of all original legal agreements are made available and uploaded into the company’s shared folder
-To arrange for the execution of all agreements and contracts in the Legal Department’s care with counterparties and to ensure that an original signed copy of the agreement contract is retained for record-keeping purpose

Legal Advice
-Offering legal and statutory updates to senior management and business department from time to time
-Providing general corporate legal advice and from time to time, design and deliver legal issues related training
-Providing sound legal opinion/advice for requests arising from other departments/stakeholders of the Group
-Assisting with the Group secretaries-related work, as may be assigned from time to time
-Assisting the Group on ad-hoc assignments/projects
-Providing legal input from the legal aspect in various management committees (as and when appropriate)
-To promptly escalate to the senior management’s attention of any demands, notice of litigation, arbitration and/or claims made against the Group and/or any companies therein

Management of External Counsel
-Handling and escalating all litigation matters filed against the Group and/or any companies therein
-To obtain fee quotations and act as primary point of contact with external counsel/solicitors on behalf of the Group in relation to any litigation or corporate matters requiring external aid
-Instructing and liaising with external legal counsel
-Acting as intermediary between external counsel and business departments/senior management
-To retain records of all legal advice rendered by external counsel/solicitors, cause papers prepared by external counsel/solicitor, important documents and correspondences with counterparty
-To keep all original legal agreements which have been escalated to the Legal Department in accordance with the instructions of the senior management

Compliance & Risk Management
-Monitoring and ensuring the Group complies with statutory requirements in Malaysia
-Work with the senior management to develop SOPs which align with business objectives and regulatory requirements.
-Actively participate in the development of processes and policies
-Regularly revise and enhance the company’s existing SOPs, policies and handbooks
-Identifying and analysing compliance risks and providing support in addressing them
-To ensure all policies and handbooks of the Group are updated and uploaded into the company’s shares folder.
-To take all steps necessary to put in place and implement all the Group’s policies and handbooks
-To provide legal advice to senior management on all legal related matters and to notify the senior management of any identified risk, exposure or liability which the Group and/or any company therein may be subject to

Others
-To manage and work within the financial budget allocated by the company and to keep track as well as prepare an annual report detailing all spendings incurred by the Legal Department as well as an overall update of the status of all legal agreements in the Legal Department’s care
-To prepare minutes of meeting for any important meeting(s) attended with the company’s representative(s) involving third part and to retain such records
-To promptly carry out and execute any instructions given by the senior management
