Legal Support & Advisory - 1 year contract

We are seeking a highly experienced and strategic legal professional to join our organization as Legal Operations Support & Advisory. This role plays a critical part in supporting business growth through legal entity rationalisation, corporate restructuring, and M&A activities across Southeast Asia.

You will act as a trusted advisor to senior leadership, delivering practical legal solutions aligned with business objectives while ensuring compliance and governance excellence.

Key Responsibilities
1. Legal Entity Rationalisation & Corporate Restructuring (Primary Focus)
Lead the design and execution of legal entity simplification strategies, including solvent liquidations, amalgamations, de-mergers, and restructuring initiatives

Manage legal, tax, and regulatory aspects of asset and business transfers across entities

Oversee end-to-end closure processes for dormant or redundant entities, liaising with regulators and external service providers

2. M&A and Corporate Transactions
Lead legal workstreams for acquisitions, divestments, and joint ventures from due diligence through closing and post-integration

Draft, review, and negotiate key transaction documents (e.g., SPAs, SHAs)

Conduct legal due diligence and provide risk-based, strategic advisory to stakeholders

3. Compliance & Corporate Governance
Ensure all activities comply with applicable laws and regulations across SEA jurisdictions

Manage board approvals, related-party transactions, and company secretarial matters

Ensure proper implementation of Delegation of Authority (DOA) frameworks

4. Stakeholder & External Counsel Management
Manage and oversee external legal counsel across multiple jurisdictions, ensuring cost-effective delivery

Collaborate closely with internal stakeholders including Finance, Tax, HR, and business teams

Act as a proactive solutions provider supporting commercial and operational objectives

5. Process Improvement & Transformation
Identify and implement process improvements to enhance legal operations efficiency

Drive initiatives in legal transformation, including simplification, automation, and process convergence

Support integration and transformation projects across the organization

6. Leadership & Advisory
Provide expert legal advice to senior management on restructuring, governance, compliance, and M&A

Lead and develop a high-performing legal team within a matrix organization

Promote a culture of integrity, quality, and compliance (including EHS standards)

Requirements
Qualifications & Experience
Bachelor’s Degree in Law (LLB) or higher; admitted to the Bar

Minimum 10 years of relevant experience as in-house counsel in an MNC or within a reputable law firm

At least 3–5 years of hands-on experience in M&A and corporate restructuring (including legal entity simplification and solvent liquidations)

Proven experience handling multi-jurisdictional matters across Southeast Asia

Strong background in corporate law, governance, restructuring, and commercial transactions

Minimum 5 years of people management experience

Preferred Qualifications
