Job Description

Key Responsibilities:
-Preparing and Maintaining Statutory Records: Ensure accurate and up-to-date records of company documents, resolutions, and changes.
-Regulatory Compliance: Ensure the company adheres to the Companies Act 2016, Listing Requirements and all other relevant regulations.
-Liaison with Authorities: Serve as the primary point of contact with the Companies Commission of Malaysia (SSM), Bursa Malaysia Securities Berhad and other regulatory bodies.
-Meeting Management: Organize and facilitate board meetings and shareholder meetings, including preparing agendas, notice of meetings, minutes, and follow-ups.
-Advisory Role: Provide guidance to the board of directors and management team on legal, compliance, and governance matters.
-Regulatory Filings: Prepare and file annual returns, and other statutory documents with SSM in a timely manner.
-Shareholder Relations: Maintain clear and professional communication with shareholders and directors regarding company matters.
-Statutory Book Maintenance: Maintain statutory books, including registers of members, directors, and secretaries.
-Corporate Governance: Advise on matters related to corporate governance, restructuring exercises, and regulatory developments.
-Reporting Line: Report directly to the Head of Legal.

Requirements:
-Educational Background: A degree in Law, Business Administration, or a related field is preferred.
-Professional Membership: Must be a member of the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or have passed the examination for Company Secretarial License by the Companies Commission of Malaysia (SSM).
-Legal Knowledge: In-depth understanding of the Companies Act 2016, Listing Requirements and other relevant statutory and regulatory requirements.
-Experience: Experience in corporate secretarial, legal, or administrative roles. Having experience in converting the Audited Financial Statements to XBRL file will have added advantage.
-Skills: Excellent organizational, communication, and interpersonal skills. Ability to handle confidential information with discretion and professionalism.
