Job Description
JOB PURPOSE
To provide in-house legal services to Duopharma Biotech Berhad (“DBB”) and its Group of Companies (“Duopharma Biotech Group”) in the form of providing legal advisory services in commercial and administrative functions as well as providing confidence over the Duopharma Biotech Group’s legal risk management and control systems to facilitate the achievement of Duopharma Biotech Group’s business and promote good corporate governance.
The position is a contract for 12 months. Renewal of contract or absorption is subject to the company's discretion.
KEY ACCOUNTABILITIES
Draft, review, negotiate and comment on legal documentation and highlighting to management the risks / exposure involved, possible breaches, and non-compliance under applicable laws and regulations. This accountability includes assisting in negotiations for the best legal and commercial terms and conditions for the agreements to be entered into by Duopharma Biotech Group, in order to minimize legal liability for Duopharma Biotech Group.
Provide quality, accurate and timely legal advice and support to various business divisions / departments / units within the Duopharma Biotech Group’s, including but not limited to litigation, conveyancing, corporate, intellectual property and industrial relations.
Participate in various projects undertaken by DBB such as corporate restructuring, formation of business ventures and financing, due diligence, mergers and acquisitions.
Liaise with and manage external lawyers and other advisers / consultants on legal matters affecting Duopharma Biotech Group, including litigation, business disputes and other matters assigned to external lawyers and/or other advisers / consultants.
Provide training / legal education briefing to selected audience from Duopharma Biotech Group from time to time on selected issues / matters.
Provide value-added legal consultation on new or changing services, processes, systems, or policies and other ad-hoc assignments.
Responsible to prepare and submit status or other report(s) as required by Chief Legal Officer.
Assist, advise, manage, keep record and custodian to the Group’s intellectual property matters as assigned by Chief Legal Officer.
Attending to company secretarial matters as and when required by Chief Legal Officer.
Perform other duties as assigned by Chief Legal Officer.
PERSON SPECIFICATIONS
Qualifications (Degree/Diploma, etc) / Certification (Professional Membership, etc)
Bachelor of Laws (Honors)
Experience
At least 4 to 5 years of working experience preferably as an advocate and solicitor (i.e. having been admitted to the Malaysian Bar and practiced as an advocate and solicitor)
Technical Competencies
Exposure to and/or familiarity in areas of laws/regulations such as Companies Act 2016, Listing Requirements of Bursa Malaysia Securities Berhad, Contracts Act 1950, Securities Commission's guidelines.
General knowledge on intellectual property, anti-competition, data protection, litigation.
Capability to independently manage project related work (including mergers and acquisitions, joint venture exercise and due diligence)
