Key Responsibilities:
Legal Advisory & Contract Management
Draft, review, and negotiate a wide range of commercial agreements, including:
- Property/Construction: Sale & Purchase Agreements (SPAs), tenancy agreements, joint venture agreements, construction contracts, and consultancy agreements.
- F&B: Supply agreements, franchise agreements, licensing, and vendor contracts.
- General Corporate: NDAs, service agreements, and procurement contracts.
Ensure contracts comply with Malaysian laws and company policies.
Provide legal advice to internal departments on contractual obligations and risks.
Regulatory Compliance & Corporate Governance
Monitor and ensure compliance with relevant laws (e.g., Housing Development Act, Contracts Act, Employment Act, F&B regulations).
Assist in corporate secretarial matters (if required) and liaise with external company secretaries.
Handle land/property-related legal matters, including due diligence for acquisitions and disputes.
Dispute Resolution & Litigation Management
Assist in managing legal disputes, including construction claims, tenancy disputes, debt recovery, and labour issues.
Coordinate with external lawyers on litigation, arbitration, or mediation cases.
Prepare legal notices, settlement agreements, and mitigation strategies.
HR & Employment Legal Matters
Advise on employment law compliance (Employment Act, Industrial Relations Act, etc.).
Review and update HR policies, employment contracts, and disciplinary procedures.
Assist in handling employee disputes, termination issues, and workplace investigations.
General Legal Support
Conduct legal research on new regulations impacting the business.
Assist in corporate transactions (M&A, restructuring, due diligence).
Provide training to staff on legal and compliance matters.
Ad Hoc Support
Perform other legal related duties as assigned by Legal Manager or Managment.
Qualifications & Requirements:
Bachelor’s degree in law (LLB) and/or a qualified advocate & solicitor in Malaysia (preferred, but not mandatory if strong in-house experience).
Minimum 5 years of legal experience, preferably in property development, construction, or corporate/commercial law.
Strong knowledge of contract law, employment law, and regulatory compliance in Malaysia.
Experience in drafting and negotiating complex commercial agreements.
Ability to handle HR-related legal matters (disciplinary actions, employment contracts, etc.).
Excellent communication (English & Bahasa Malaysia) and stakeholder management skills.
Proactive, detail-oriented, and able to work independently.
Preferred Skills:
Experience in in-house legal roles (property/construction/F&B sectors).
Familiarity with Strata Title Act, Housing Development Act, and Construction Industry Payment & Adjudication Act (CIPAA).
Knowledge of data protection laws (PDPA) and corporate governance.
